Prior to joining Nyemaster, Dwayne Vande Krol spent 15 years at the international accounting firm Deloitte & Touche LLP, representing clients in various tax-related areas. Midway through his career at Deloitte, Dwayne began working a flexible schedule that allowed him to take law school classes part time and earn his degree. When he made the decision in 2008 to move from the practice of accounting to the practice of law, Dwayne joined Nyemaster. “At Deloitte, I had the opportunity to work with a number of quality law firms in town,” he says. “I was most impressed by the way Nyemaster approached serving clients, the skills of the firm’s attorneys, and the breadth of its client base. I’m fortunate to have landed here.”

 

A main focus of Dwayne’s practice is assisting clients with tax issues associated with major business transactions such as mergers, acquisitions, expansions, and reorganizations. He helps businesses with the tax issues involved in structuring deals, negotiating stock and asset transfer agreements, and drafting operating agreements and other governance documents. One of the largest areas of Dwayne's practice involves representing clients with negotiating and participating in tax credits and incentives programs, including structuring tax equity financing for historic rehabilitation and renewable energy projects. Dwayne also represents clients in tax controversies and disputes, advising corporations and individuals being audited by the Internal Revenue Service, the Iowa Department of Revenue, county and city property tax assessors, or other taxing authorities.

 

“Federal, state, and local taxes are usually among the largest expenses incurred by businesses and individuals, and thus are a driving force behind major financial decisions,” Dwayne says. “By helping my clients structure transactions in the most tax-efficient manner, I get integrally involved in those decisions, which is very rewarding.”

 

In order to effectively negotiate on behalf of his clients, Dwayne takes time to understand their business or personal tax situation and is diligent about looking at the big picture. “When people ask for my tax advice, I always seek to understand their business objectives first, and then work with them to wrap tax planning around those objectives,” he says.

 

Most of Dwayne’s time outside the office is spent with family, attending his children’s many activities. He is also very involved with the Iowa State University Alumni Association, the Iowa Society of Certified Public Accountants, and the Polk County Bar Association.
